TOTUSTIX LLC — Terms of Use and Ticket Purchase Terms, governing TotusTix.com, related applications, and ticketing services.

IMPORTANT NOTICE

These Terms contain an agreement to arbitrate disputes on an individual basis, a class-action waiver, a jury-trial waiver for matters permitted to proceed in court, limitations of liability, and rules governing refunds, chargebacks, digital tickets, Event changes, and admission. Please read them carefully.

For purposes of these Terms, "TotusTix," "we," "us," and "our" mean TOTUSTIX LLC, a Florida limited liability company. "Services" means TotusTix.com, any TotusTix-branded application or checkout, and related ticketing services.

PART A — TERMS OF USE

1. Acceptance of These Terms

These Terms of Use, together with the Ticket Purchase Terms in Part B, the Refund, Cancellation & Postponement Policy, Privacy Policy, Cookie Policy, Payment Security Notice, Accessibility Statement, any SMS Terms if applicable, and any Event-specific terms or Venue rules disclosed before purchase (collectively, the "Terms"), form a binding agreement between you and TotusTix.

By accessing or using the Services, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by the Terms then presented to you. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization where the context permits.

2. TotusTix's Role; Event Organizer; Venue; Artists; Payment Processing

TotusTix provides ticketing technology, ticket distribution, payment-collection and related support services that allow promoters, producers, venues, presenters and other event organizers ("Event Organizers") to offer tickets for concerts, comedy, theater, cultural programming and other live events ("Events").

• TotusTix. Unless an Event listing expressly identifies TotusTix as the producer or presenter, TotusTix acts as the Event Organizer's authorized ticketing provider and/or ticketing agent. For payment-processing purposes, TotusTix may collect funds, appear on a card statement, or act as merchant of record or collection agent as disclosed by the applicable transaction structure. That payment role does not, by itself, make TotusTix the producer, venue operator, artist, or guarantor of the Event.
• Event Organizer. The Event Organizer is responsible for producing and delivering the Event, the accuracy and legality of the Event listing and promotional content it supplies, artist engagement, permits, licenses, capacity, seating configuration, and Event-specific refund decisions except where law or these Terms require otherwise.
• Venue. The venue owner/operator is responsible for the physical premises and venue policies, including security screening, parking, prohibited items, accessibility at the premises, and house rules, except to the extent another party has expressly assumed those duties.
• Artists. Artists, performers and their representatives are independent third parties and are not employees, agents, partners or representatives of TotusTix merely because tickets are sold through the Services.
• Payment Processor. Payment-card transactions are processed using Stripe, Inc. and/or its affiliates ("Stripe"), subject to the Payment Security Notice and applicable Stripe services.
• Other Providers. TotusTix may use third-party vendors for hosting, communications, analytics, fraud prevention, identity verification, customer support and other operational functions as described in the Privacy Policy.

Except where TotusTix expressly assumes a different role in writing, TotusTix does not control and is not responsible for artist performance, Event production, venue operations, security, parking, food and beverage service, or other acts or omissions of Event Organizers, Venues, artists or independent third parties.

3. Eligibility; Accounts; Authority

You must be at least 18 years old or the age of majority where you live to create an account or make a purchase in your own name. A minor may use the Services only through a parent or legal guardian who accepts these Terms. Event-specific age restrictions are separate and may be more restrictive.

You must provide accurate information and keep account credentials confidential. You are responsible for activity under your account to the extent permitted by law. Notify TotusTix promptly of suspected unauthorized use. TotusTix may require verification, suspend access, cancel transactions, or terminate accounts reasonably associated with fraud, abuse, security risk, sanctions concerns, or violations of these Terms.

4. License to Use the Services

Subject to these Terms, TotusTix grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Services for lawful ticket discovery, purchase, account management and related personal use. No ownership interest in the Services or their software is transferred to you.

5. Prohibited Conduct

• Use bots, scripts, scrapers, automated purchasing tools or other means to access the Services, monitor inventory or acquire tickets without written authorization;
• Circumvent ticket limits, queues, security controls, geographic restrictions, presale controls or other purchase conditions, including through multiple accounts, false identities or payment instruments;
• Reverse engineer, probe, scan, attack, overload, interfere with or obtain unauthorized access to the Services or related systems;
• Forge, duplicate, alter, publicly expose or misuse tickets, barcodes, QR codes, credentials, promotional codes or presale access;
• Use the Services for unlawful resale, fraud, money laundering, sanctions evasion, infringement, harassment or any other unlawful purpose;
• Upload malicious code, submit false information, impersonate another person, or interfere with another user's access; or
• Use TotusTix content, data, trademarks or technology for commercial exploitation except under a written agreement with TotusTix.

TotusTix may take reasonable protective measures, including order cancellation, ticket invalidation, purchase limits, account restrictions and referral to payment networks or law enforcement, subject to applicable law.

6. Intellectual Property; Event Organizer Content; DMCA

The TotusTix name, logos, software, interface, databases, site design and TotusTix-created content are owned by TotusTix or its licensors and protected by applicable intellectual-property laws. Event Organizer content is displayed on an as-provided basis, and Event Organizers are responsible for obtaining rights to artist names, images, trademarks, music, artwork and promotional materials they submit.

Copyright complaints may be submitted through the legal contact method identified on TotusTix's Contact/Legal page. TotusTix may remove or disable allegedly infringing material and may terminate repeat infringers where appropriate. Before relying on the DMCA safe-harbor process, TotusTix must maintain a valid designated-agent registration with the U.S. Copyright Office.

7. User Submissions and Feedback

If you submit reviews, comments, feedback, support materials or other content to TotusTix, you represent that you have the right to do so and that the submission is lawful. You grant TotusTix a non-exclusive, worldwide, royalty-free license to use the submission as reasonably necessary to operate, support, improve and protect the Services. This license does not transfer ownership of your personal information, which remains governed by the Privacy Policy.

8. Assumption of Risk; Event Environment; Recording

Live Events may involve crowds, loud sound, flashing or strobe lights, pyrotechnics, weather exposure, standing, physical activity and other inherent or foreseeable conditions. By attending, you voluntarily assume ordinary risks inherent in the Event environment to the extent permitted by law. Nothing in these Terms releases liability that cannot lawfully be released.

Events and Venues may use security cameras and may photograph or record crowd scenes for security, news, archival or promotional purposes. Event-specific notices or releases may apply. TotusTix does not grant Event Organizers rights they do not otherwise possess under applicable law.

9. Third-Party Services and Links

The Services may link to or interoperate with Event Organizer, Venue, social-media, wallet, mapping, payment, insurance or other third-party services. Those services are governed by their own terms and privacy practices. TotusTix is not responsible for third-party services it does not own or control.

10. Service Availability; Errors; Maintenance

TotusTix does not guarantee uninterrupted or error-free access. Inventory, maps, prices, seat labels and Event details may occasionally contain typographical, technical, synchronization or configuration errors. TotusTix may correct errors, perform maintenance, limit access during security incidents, and cancel or reverse a transaction affected by a material error, duplicate order, unauthorized transaction or unavailable inventory. If TotusTix cancels a completed order solely because of such an error and no substitute is accepted, amounts actually charged for that order will be refunded.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TOTUSTIX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, EXCEPT WHERE THEY CANNOT LAWFULLY BE DISCLAIMED. TOTUSTIX DOES NOT GUARANTEE THAT AN EVENT WILL OCCUR AS SCHEDULED, THAT A PARTICULAR ARTIST WILL APPEAR, OR THAT THIRD-PARTY INFORMATION OR SERVICES WILL BE ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTUSTIX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, A TICKET TRANSACTION OR AN EVENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTUSTIX'S AGGREGATE LIABILITY ARISING OUT OF A PARTICULAR CONSUMER TRANSACTION WILL NOT EXCEED THE GREATER OF (A) THE TOTUSTIX FEES ACTUALLY RETAINED BY TOTUSTIX FOR THE TRANSACTION GIVING RISE TO THE CLAIM OR (B) US$100. THIS CAP DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING FRAUD, WILLFUL MISCONDUCT, OR OTHER NON-WAIVABLE LIABILITY.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TotusTix and its affiliates, officers, directors, employees and agents from third-party claims, liabilities, damages and reasonable costs arising from your fraudulent or unlawful use of the Services, your material breach of these Terms, or your infringement of another person's rights. This obligation does not require you to indemnify TotusTix for TotusTix's own negligence or misconduct.

14. Force Majeure

TotusTix is not liable for delay or failure caused by circumstances beyond its reasonable control, including hurricanes, severe weather, natural disasters, fire, epidemic or pandemic conditions, government orders, war, terrorism, civil unrest, labor disputes, transportation interruption, utility or telecommunications failures, cyber incidents not caused by TotusTix's failure to use reasonable safeguards, or payment-network outages. Event cancellation and refund rights remain subject to applicable law and the Refund, Cancellation & Postponement Policy.

15. Dispute Resolution; Mandatory Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT, HAVE A JURY DECIDE A DISPUTE, OR PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

15.1 Informal Resolution First

Before filing arbitration or a lawsuit permitted by this Section, the claimant must send a written notice describing the dispute, the relevant order/account information, the relief requested, and contact information through the legal notice method published on TotusTix's Contact/Legal page. The parties will attempt in good faith to resolve the dispute for at least 30 days. This requirement does not prevent either party from seeking urgent injunctive relief where legally available.

15.2 Agreement to Arbitrate

Except for qualifying individual small-claims matters and claims seeking only temporary or preliminary injunctive relief to protect intellectual-property or security interests, you and TotusTix agree that disputes arising out of or relating to the Terms, Services, marketing, ticket purchases or your relationship with TotusTix will be resolved by binding individual arbitration under the Federal Arbitration Act.

15.3 Administrator; Consumer Rules

Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms. The arbitration may be conducted by documents, telephone, video, or in person as the applicable rules permit. Fees will be allocated under the AAA consumer fee schedule and applicable law.

15.4 Class and Representative Action Waiver

YOU AND TOTUSTIX AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF, EXCEPT TO THE EXTENT APPLICABLE LAW REQUIRES OTHERWISE.

15.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice within 30 days after the date you first accept these Terms. The notice must identify you, the email associated with your TotusTix account or purchase, and clearly state that you are opting out of the arbitration agreement. The opt-out method and legal-notice address/email must be published on TotusTix's Contact/Legal page before these Terms go live. Opting out of arbitration does not opt you out of the remainder of the Terms.

15.6 Severability of Arbitration Terms

If a court determines that a particular claim or remedy cannot lawfully be arbitrated or subjected to the class-action waiver, that claim or remedy will proceed in court only after all arbitrable claims are resolved, unless applicable law requires otherwise. The remainder of this Section will be enforced to the maximum extent permitted by law.

16. Governing Law; Court Venue; Jury Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent the Federal Arbitration Act or a non-waivable consumer-protection law applies. For any dispute lawfully proceeding in court, the parties consent to exclusive jurisdiction and venue in the state courts located in Miami-Dade County, Florida, or the federal court having jurisdiction over Miami-Dade County. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION.

17. Children and COPPA

The Services are not directed to children under 13, and TotusTix does not knowingly collect personal information from children under 13 in violation of the Children's Online Privacy Protection Act. A parent or guardian who believes a child under 13 submitted personal information should contact TotusTix through the privacy contact method published on the website.

18. Accessibility

TotusTix seeks to make its digital services usable by people with disabilities. Users who encounter difficulty accessing the Services or purchasing tickets may request assistance through the accessibility contact method published on TotusTix.com. Accessibility accommodations at an Event or Venue are generally administered by the Event Organizer and/or Venue. TotusTix will not claim conformance with a specific WCAG level unless that conformance has been appropriately evaluated.

19. Electronic Communications; E-SIGN Consent

By using the Services, you consent to receive transaction-related records and communications electronically, including order confirmations, tickets, receipts, Event notices, policy disclosures and legally required notices, at the email address, mobile number or account interface associated with your transaction. You may retain electronic records by printing or saving them. Marketing communications are governed separately by Section 36.

20. Changes to the Terms

TotusTix may update these Terms prospectively. The effective or "Last Updated" date will be revised, and additional notice will be provided where required by law. A material change to dispute-resolution terms will not retroactively alter the treatment of a dispute of which TotusTix had actual written notice before the change, except where the parties agree.

21. Miscellaneous

If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective, subject to the specific severability rules in Section 15. Failure to enforce a provision is not a waiver. You may not assign these Terms without TotusTix's consent; TotusTix may assign them in connection with a merger, financing, reorganization, sale of assets or business transfer. Headings are for convenience only. These Terms and incorporated policies constitute the agreement between you and TotusTix concerning the Services, except for a separate written agreement that expressly supersedes them.

PART B — TICKET PURCHASE TERMS

22. Contract Formation; Checkout Acceptance

A ticket order is an offer to purchase. An order is not finally accepted merely because you submit payment information. Acceptance occurs when TotusTix sends an order confirmation or otherwise makes the valid ticket credential available, subject to fraud review, inventory verification and these Terms.

The checkout must require an unchecked acceptance control immediately before purchase. Recommended language:

"I have reviewed and agree to the TotusTix Terms of Use, Ticket Purchase Terms, Refund, Cancellation & Postponement Policy, and Privacy Policy, and I confirm the total price shown, including mandatory fees and applicable taxes, before completing this purchase."

Consent to marketing email or SMS must be separate, optional and unchecked by default; it must not be bundled with the mandatory contractual acceptance.

23. Total Price / All-In Pricing; Fees; Taxes

For covered live-event ticket offers, TotusTix will display the total ticket price clearly and conspicuously as required by applicable law, including mandatory ticketing/service charges that the purchaser cannot avoid. Applicable government taxes or government-imposed charges may be separately disclosed where the law permits. Optional add-ons selected by the purchaser are shown separately.

The order summary may itemize face value, mandatory TotusTix fees, payment-related charges included in the mandatory total, taxes/government charges, delivery charges if applicable, and optional products. A breakdown must not obscure the total price.

Event Organizers generally set face value. TotusTix may set or collect service, facility, processing or other disclosed charges under its agreement with the Event Organizer. Prices and fees may vary by Event, seat, sales channel, time, demand or other lawful criteria. A previously displayed price does not reserve inventory until the order is accepted.

24. Payment Authorization; Stripe; Cardholder Responsibility

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges shown at checkout. TotusTix uses Stripe for payment processing. Where TotusTix implements Stripe Checkout, Elements or another qualifying tokenized integration, payment-card data is collected by Stripe-hosted components and is not intended to pass through or be stored on TotusTix application servers. TotusTix may receive tokens, payment status, card brand, last four digits, expiration information and other non-sensitive transaction metadata needed to operate the Services.

TotusTix does not intentionally store full card numbers, card security codes (CVV/CVC), or magnetic-stripe data on its systems. PCI DSS obligations depend on the actual technical integration and must be maintained operationally; no statement in these Terms is a substitute for required PCI validation.

25. Inventory; Seat Maps; Holds; Pricing and Configuration Errors

Ticket inventory may change rapidly and may be held temporarily while other customers complete checkout. A seat shown as available is not guaranteed until the order is accepted. Seat maps are visual aids and may not be perfectly to scale; stage configuration, production equipment, sightlines, accessible seating and venue layout may change.

If an order is affected by a material pricing, inventory, seat-map, tax, duplicate-order or configuration error, TotusTix may cancel the affected order and refund amounts charged, or, where practical, offer the purchaser the option to accept a reasonable correction or substitute. TotusTix will not knowingly enforce an obviously erroneous price merely because an automated confirmation was generated.

26. Ticket Delivery; Mobile Tickets; QR Codes

A ticket is a revocable license to attend the applicable Event, subject to these Terms and applicable Event/Venue rules. Tickets may be delivered by email, account access, mobile wallet, downloadable file, QR code, barcode or another stated method.

Do not publicly post or share a ticket credential. The first valid scan may invalidate duplicate copies. You are responsible for safeguarding tickets and for having a compatible device, sufficient battery and connectivity where required, or a permitted printed copy. TotusTix is not responsible for entry problems caused by your voluntary disclosure, unauthorized duplication, device failure or failure to follow delivery instructions, except where applicable law provides otherwise.

27. Lost, Stolen, Duplicated or Compromised Tickets

Report suspected compromise promptly. TotusTix may, but is not required to, cancel and reissue a ticket credential when identity and purchase can be reasonably verified and the Event Organizer's rules permit. Replacement is not guaranteed, particularly after a credential has been validly scanned or transferred.

28. Ticket Limits; Anti-Bot Rules; Resale and Transfers

Event Organizers may impose per-person, per-household, per-account, per-card or other reasonable purchase limits. TotusTix may aggregate orders that appear related and cancel quantities exceeding disclosed limits. Florida law also prohibits certain knowing purchases above posted limits when made with intent to resell.

TotusTix is an original-sale ticketing service unless a particular product is expressly identified as resale. TotusTix does not presently authorize use of the Services as a general secondary marketplace. If TotusTix enables a ticket-transfer feature, the transfer remains subject to Event-specific restrictions and applicable law. Unauthorized commercial resale, brokering, scalping, or use of TotusTix systems to facilitate unlawful resale may result in cancellation or account restrictions.

29. Admission; Venue Rules; Denial of Entry; Ejection

Admission is subject to the ticket being valid, Event-specific conditions, age or identification requirements, security screening, Venue rules and lawful directions of Event/Venue personnel. A ticket holder may be denied entry or ejected for fraud, intoxication, unsafe or disruptive conduct, prohibited items, failure to comply with lawful security measures, or other material violation of Event/Venue rules. Unless required by law or the Refund Policy, no refund is due when denial or ejection results from the attendee's own conduct.

30. Event Changes; Artists; Seats; Venue Changes

Artists, support acts, programs, schedules, production elements, seating configurations and Venue details may change. An opening act, performer substitution, minor time adjustment, production change or comparable non-material change does not automatically create a refund right. If a seat becomes unavailable because of production or Venue changes, the Event Organizer or TotusTix may provide a reasonably comparable seat, upgrade, other remedy, or refund as required by the applicable Refund Policy and law.

31. Refunds, Cancellations, Postponements and Rescheduling

Except as expressly provided in the Refund, Cancellation & Postponement Policy or required by law, completed ticket purchases are final and non-refundable. A purchaser's change of plans, travel disruption, failure to attend, artist preference, weather concern not resulting in Event cancellation, or inability to satisfy disclosed entry requirements does not by itself create a refund right.

For cancellation, postponement, rescheduling, material relocation or other Event changes, the separate Refund, Cancellation & Postponement Policy controls. TotusTix may administer refunds on behalf of the Event Organizer. Refund timing can depend on receipt or availability of Event funds, payment-network processing, and applicable law; nothing in these Terms permits TotusTix or an Event Organizer to withhold a refund that applicable law requires.

32. Service Fees and Refund Treatment

Whether service, facility, processing, delivery or other fees are refundable depends on the reason for the refund, the Event-specific terms, the Refund, Cancellation & Postponement Policy and applicable law. The checkout and Refund Policy should clearly disclose any non-refundable fee before purchase. No provision of these Terms overrides a mandatory refund obligation.

33. Chargebacks and Payment Disputes

If you believe a charge is incorrect, contact TotusTix support promptly so the matter can be investigated. This request does not waive your rights with your card issuer. TotusTix may provide order records, acceptance logs, delivery records, communications, fraud indicators and ticket-scan information to Stripe, acquiring banks, issuers and card networks to respond to a payment dispute.

Knowingly initiating a false or fraudulent chargeback may result in account restrictions and recovery efforts to the extent permitted by law. TotusTix will not penalize a consumer merely for exercising a legitimate card-network or statutory dispute right.

34. Event Organizer Responsibility

Event Organizers are responsible for supplying accurate Event information, lawful content, pricing instructions, seating/capacity information, accessibility details, age restrictions, permits, licenses, artist authority and Event-specific policies. TotusTix may rely on that information unless it knows or reasonably should know it is materially inaccurate.

35. Optional Products; Ticket Protection; Merchandise

Optional products such as ticket protection, insurance, merchandise, parking or VIP add-ons may be offered by TotusTix, an Event Organizer or a third party. Optional products must be affirmatively selected and are governed by any additional terms disclosed at checkout. Insurance or protection products, if offered, are not provided by TotusTix unless expressly stated.

36. Transactional Email; Marketing Email and SMS

TotusTix may send transactional messages necessary to fulfill or service a purchase, including confirmations, ticket delivery, security notices and Event updates. Marketing email and marketing SMS require any consent mandated by applicable law and must be separate from acceptance of the purchase Terms. Marketing emails will provide an unsubscribe method. Marketing SMS, if offered, should include required consent language, message-frequency and message/data-rate disclosures, and STOP/HELP instructions.

37. Fraud Prevention; Identity Verification

TotusTix and its providers may use automated and manual fraud-prevention measures, including transaction risk signals, device and network information, velocity controls, address or identity verification and payment authentication. An order may be delayed, rejected or cancelled when reasonably necessary to prevent fraud, abuse, security threats or unlawful activity, subject to applicable law.

38. Taxes and Government Charges

Applicable sales, admissions, amusement, local-option or similar taxes and government charges may vary by jurisdiction, Event and transaction structure. TotusTix may calculate, collect, remit or facilitate such amounts where required or contractually assigned. The Event Organizer remains responsible for taxes allocated to it under its agreement with TotusTix and applicable law. Consumer-facing tax disclosures will follow applicable total-price and checkout requirements.

39. Geographic Availability; Sanctions and Legal Compliance

The Services are operated from the United States and may not be available in every jurisdiction. You may not use the Services where doing so would violate applicable law, trade restrictions or sanctions. TotusTix may block or restrict transactions where reasonably necessary for legal or payment-network compliance.

40. Contact and Legal Notices

Customer support, privacy requests, accessibility requests, copyright notices, arbitration opt-outs and formal legal notices must use the contact channels published on TotusTix.com. Before publication of these Terms, TotusTix must publish and maintain: (1) a customer-support email or form; (2) a privacy contact; (3) an accessibility contact; and (4) a legal-notice address and/or email capable of receiving arbitration opt-outs and formal notices.
